B2B Exchange Policies


The B2B Exchange is a marketplace subject to Swappa's broader Marketplace Policies and Terms of Use.

Violation of policies will result in being banned from the B2B Exchange and possibly Swappa entirely.


Terminology

Definitions of commonly used B2B Exchange terminology.

  • External Contact Information - any identifier or instruction to communicate off-site, outside of Swappa
    • Including but not limited to: email address, website URL, phone number, WhatsApp number, social media handle, etc.
  • Message - a comment or message from one user to another, usually relating to an offer or order
  • Offer - a good faith intent to engage in commerce
    • Intent - to buy or sell
    • Offeror - the party making an offer
    • Offeree - the party receiving an offer
  • Order - an accepted offer becomes an order with a buyer and seller
  • Stock List - list of product inventory, including pricing, quantity, and variant information

Membership

The B2B Exchange is available only to established and verified businesses approved by Swappa.

  • Member businesses are required to have and provide a valid business license
  • Users of member businesses must be authorized agents, able to enter legally binding contracts under applicable law
  • Swappa, in its sole discretion, reserves the right to grant and/or restrict access to B2B Exchange users for any reason

Stock Lists

Stock List data provided or published to the B2B Exchange should be an accurate reflection of products and prices that are available for sale.

  • Stock List quantities and prices should be kept current and accurate
  • Misrepresenting and/or providing incorrect pricing or quantity information is prohibited

Offers

Offers to other B2B Exchange members shall be made in good faith.

  • External contact information (defined above) shall not be included in initial offers
  • An accepted offer is expected to result in a completed order
  • "Offer spamming" is hard to define but easy to identify; if you spam other users you will be banned from the B2B Exchange

Orders

Orders are expected to be fulfilled by the seller and completed by the buyer in a prompt manner.

  • Buyers and sellers can communicate outside of Swappa to complete the order
  • Creating fake orders that won't be fulfilled is prohibited
  • External communication (defined below) should only occur with both parties of an order agree; otherwise all communication should remain on Swappa
  • Seller is expected to provide shipping information, including carrier and tracking number, for all orders
  • Seller is responsible for providing reasonable support for any issues related to sold items

Messages

All communication on Swappa, including messages relating to offers and orders, shall be respectful, professional and towards the business of completing commerce.

  • Messaging not related to offers, orders, or other business of the B2B Exchange is prohibited
  • Name calling, profanity, personal attacks, and discriminatory language are prohibited
  • Harassment and spamming are strictly prohibited and should be reported to Swappa
  • External communication (defined below) should only occur with both parties of an offer and/or an order agree; otherwise all communication should remain on Swappa

External Communication

Swappa expects and supports external, off-site communication amongst B2B Exchange members. However, please adhere to our guidelines and policies to avoid abuse and consequence.

  • External contact information (defined above) shall not be included in initial offers
  • Collecting other Swappa users' contact information to add to any contact list that will be shared, sold or spammed is strictly forbidden
  • External communication directly related to offers and orders initiated on the B2B Exchange are subject to Swappa's guidelines for Messages (above)
